Service Agreement

This Contract for Services is made effective as of ____________________[Date], by and between _________________________________________________________________________[Client’s Name], and VS Construction LLC, a limited liability company organized and existing under the laws of the State of Hawaii, with a principal office located at 2045 Mott Smith Dr, Honolulu, Hawaii 96822, represented by Vasili Sauchanka, in his capacity as CEO.

Contractor’s Representation: VS Construction LLC desires to provide Handyman services to the Owner, and the Owner desires to obtain such services from VS Construction LLC.

Agreement Terms:

  1. Services: Beginning on _______________________, VS Construction LLC will provide the services described in the attached Exhibit (collectively, the “Services“) to ____________________________________________________________________________________________________. The requested services will be completed at _______________________________________________________________________________________________________________________________.
  2. Compensation: [Client’s Name] _______________________________________________________________________________________________________________________________ will pay compensation to VS Construction LLC for the Services in the amount of $[_______________________________________________________________________________________________________________________________]. This compensation is based on the approved estimate provided prior to the commencement of the services. An invoice reflecting the final agreed-upon amount, which may be adjusted based on actual services rendered, will be issued upon completion of the Services. Payment shall be made in a lump sum within 14 days of receiving the final invoice from VS Construction LLC.
  3. Term/Termination: This Contract shall terminate automatically on __________________________________________________. Upon mutual agreement, the Contract may be renewed for additional periods. The terms and conditions for renewal, including any changes in terms, must be agreed upon in writing by both parties at least 30 days prior to the end of the current contract term. Either party may terminate the Contract at the end of the initial term or any extended period by providing written notice to the other party at least 30 days prior to the end of the current term.
  4. Materials and Supplies:
    • The contractor shall furnish all equipment necessary to perform the services described in this Contract, except for items specifically requested to be supplied by the Owner.
    • All parts, building materials, and other supplies necessary to complete the services will be at the Owner’s cost.
    • All specialized equipment and tools necessary to complete the project should be provided by the Contractor at the Contractor’s expense.
  5. Independent Contractor: It is understood by the parties that VS Construction LLC is an independent contractor with respect to __________________________________________________[Client’s Name], and not an employee of __________________________________________________ [Client’s Name]. [Client’s Name] __________________________________________________ will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of VS Construction LLC or its employees or subcontractors.
  6. Compliance and Insurance: VS Construction LLC shall comply with all applicable federal, state, county, and city statutes, ordinances, and regulations and maintain necessary insurance coverage.
  7. Liability and Injuries: [Client’s Name] __________________________________________________ waives any rights to recovery from VS Construction LLC for any injuries that may sustain while performing services under this Contract and that are a result of the negligence of [Client’s Name] __________________________________________________ or its employees.

Entire Agreement: This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties.

Severability and Governing Law: This Contract will be governed by the laws of the State of Hawaii. If any provision of this Contract is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
